Welcome to NextPiece. The terms “we,” “us,” and “our” refer to NextPiece, a brand operated by Whimspot Inc. These Terms of Service describe your rights and responsibilities when you use our website, products, and related services.
By visiting, interacting with, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Section 1 - Access and Account
By using the Services, you represent that you are at least the age of majority in your state or province of residence. You may be asked to provide information such as your email address, billing, payment, and shipping information. You represent that this information is correct, current, complete, and that you have the right to provide it. If we make account features available, you are responsible for maintaining the security of your account credentials and activity.
Section 2 - Our Products
We make reasonable efforts to represent products accurately. Product colors and appearance may differ on your screen because of device settings and configuration. Product descriptions may change without notice, and we may discontinue products or limit quantities by person, geographic region, or jurisdiction.
Section 3 - Orders
Submitting a product request does not create an order, reserve inventory, or require payment. NextPiece may accept or decline an order at its discretion, and an order is not accepted until we confirm availability and acceptance. We must receive and process payment before an order is accepted. Review orders carefully, as cancellation requests may not be possible after acceptance. Purchases are subject to our Return and Refund Policy and applicable product-specific terms. Products are for personal or household use, not commercial resale or export.
Section 4 - Prices and Billing
Prices, discounts, and promotions may change without notice. The applicable price is the price in effect when the order is placed and shown in the order confirmation. Unless expressly stated otherwise, prices exclude taxes, shipping, handling, customs, and import charges. You agree to provide current, complete, and accurate purchase and payment information, and authorize charges at the posted prices plus applicable shipping, handling, and taxes.
Section 5 - Shipping and Delivery
Delivery times are estimates and are not guaranteed. We are not liable for delays caused by carriers, customs processing, or events outside our control. Once products are transferred to the carrier, title and risk of loss pass to you.
Section 6 - Intellectual Property
The Services, including their text, displays, images, graphics, video, audio, design, and arrangement, are owned by Whimspot Inc., its affiliates, or licensors and are protected by intellectual-property laws. You may use the Services for personal, non-commercial use only. You may not reproduce, distribute, modify, display, republish, download, store, or transmit Service materials without prior written consent. NextPiece names, logos, product names, designs, and slogans are trademarks of Whimspot Inc. or their respective owners.
Section 7 - Optional Tools
The Services may provide access to third-party tools. We do not control or monitor those tools and provide access on an as-is and as-available basis. Your use of optional third-party tools is at your own risk and subject to the provider's terms.
Section 8 - Third-Party Links
The Services may link to third-party websites or embed third-party functionality. We are not responsible for the content, accuracy, privacy practices, or security of third-party sites. Review their policies before engaging in a transaction or providing personal information.
Section 9 - Payments
Drop requests do not require payment through this website. Payment instructions for confirmed orders are arranged separately after availability is confirmed.
Section 10 - Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and disclose personal information.
Section 11 - Feedback
If you submit feedback, reviews, ideas, suggestions, or other content, you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display it for operating, improving, and promoting the Services. You represent that you have the rights necessary to submit feedback and that it does not violate the rights of others or applicable law.
Section 12 - Errors, Inaccuracies, and Omissions
We may correct typographical errors, inaccuracies, or omissions relating to descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. We may change or update information or cancel orders when information is inaccurate, including after an order is submitted.
Section 13 - Prohibited Uses
You may use the Services only for lawful purposes. You must not use the Services for unlawful or malicious activity; infringe intellectual-property rights; harass, defame, or harm others; transmit false or misleading information; send spam; impersonate another person; introduce malware; collect others' personal information; scrape, extract, resell, or exploit any portion of the Services; or bypass security, authorization, or access-control measures. We may suspend or terminate access for violations.
Section 14 - Automated Agents
No automated or semi-automated agent may access, use, or interact with the Services unless it identifies itself in its user agent, does not conceal or obfuscate automated access, responds truthfully to prompts about whether it is automated, and follows any instruction or technical measure limiting access. We may limit agent access by technical or other measures.
Section 15 - Termination
We may terminate these Terms or your access to the Services at our discretion. You remain responsible for amounts due through the termination date. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, privacy, and governing law, will survive.
Section 16 - Assumption of Risk for High-Risk Activities
Outdoor recreation, extreme sports, and high-intensity physical activities are inherently dangerous and involve a significant risk of severe property damage, personal injury, paralysis, or death. By purchasing, installing, or using NextPiece products, you acknowledge, understand, and accept all known and unknown risks associated with these activities. You are solely responsible for ensuring that all components are properly sized, installed, secured to specification, and maintained by a qualified professional or technician. Whimspot Inc. assumes no responsibility or liability for personal injury, property damage, or death resulting from the use or misuse of our products, improper installation, or the inherent risks of high-risk activities.
Section 17 - Disclaimer of Warranties
Information on the Services is provided for general information only. Except for product-specific warranties expressly stated by NextPiece, the Services and products are provided as is and as available without representation, warranty, or condition of any kind, whether express or implied, including merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement, to the extent permitted by law.
Section 18 - Limitation of Liability
To the fullest extent permitted by law, Whimspot Inc., its affiliates, partners, directors, officers, employees, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, punitive, special, or consequential damages, including lost profits, revenue, savings, data, or replacement costs, arising from use of the Services or products purchased through them.
Section 19 - Indemnification
You agree to indemnify, defend, and hold harmless Whimspot Inc. and its affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from losses, damages, liabilities, and claims, including reasonable legal fees, arising from your breach of these Terms, violation of law or third-party rights, or access to and use of the Services.
Section 20 - Severability, Waiver, and Assignment
If any provision of these Terms is unenforceable, the remaining provisions remain in effect. A failure to enforce a right is not a waiver. You may not assign these Terms without our written consent. We may assign or transfer these Terms and our rights or obligations without notice where permitted by law.
Section 21 - Governing Law
These Terms and any separate agreements for the Services are governed by the laws applicable in the jurisdiction where Whimspot Inc. is headquartered, without regard to conflict-of-law principles.
Section 22 - Changes to These Terms
We may update these Terms for operational, legal, or regulatory reasons. We will post changes on this page and provide notice of material changes where required by law. Continued use of the Services after an update becomes effective constitutes acceptance of the updated Terms.
